Those present: Gary Fish, Frank Gyetvan, Jim Montgomery, Tony Gallo, Nick Dienes, Mike Sabath, Sonja Sabath, Bob Lindow, Kathleen McCormick

1. The meeting was called to order by Gary Fish at 7:00 PM at Kilmer Elementary School Library.
2. The role call and proxy card count was completed and showed 53 homeowners were represented for a quorum.
3. It was noted that a letter was sent to all homeowners in excess of one month prior to the meeting stating the purpose of the meeting. Attached
4. The following directors were elected to the board unanimously .




Nick Dienes	one year
Michael Sabath	two years
Brian Freese	three years
Brian Sells	three years
Bob Lindow	three years

5. Fish moved and Gyetvan seconded to approve the minutes of the April 21st, 2005 and the October 19th 2005 meetings. Passed unanimously.

New Business - A short discussion was held on the need for a second round of water meter readings. Frank and Tony will be sending out this mailing.

Gary moved and Frank seconded to adjourn the meeting at 7:08 PM.

November 28, 2005

Dear Fellow Homeowners,

At our recent Home Owners Association meeting, November 16, 2005, we failed to achieve a quorum (homeowners present plus proxies) and therefore could not complete our election of new directors for the Wissler Ranch Board of Directors. Feeling the importance of a fully staffed Board of Directors, a special meeting is being called by the HOA Board. This special meeting, under The Wissler Ranch Homeowners Association By-Laws, Article III Section 3 is for the election of directors to the HOA Board of Directors and is scheduled for January 4th, 2006.

Also in reviewing past records we found that two members of our Board of Directors appointed to fill board vacancies were inadvertently never voted on at an annual meeting. Therefore at this time we have four active Board of Directors members. The good news is that we have volunteers to fill all open positions.

The make-up of the board at this time is as follows.

I encourage all Homeowners to attend this important meeting. If you are unable to be at this meeting in person please fill out the enclosed proxy card. We need votes for five directors (one for one year, one for two years and three for three years) in order to fill the Board of Directors vacancies. To insure a quorum for this meeting please mail your proxy by December 24th, 2005.
