Wissler Ranch will hold its Annual Meeting of the Members on Saturday, October 24, 2026 at the Tri-Lakes United Methodist Church in Kings Deer. An elevator is available for accessibility.
Decisions made at the annual meeting shape the future of the HOA and affect every member. We encourage all homeowners to attend, engage in the process and visit with their neighbors.
Meeting Agenda and Purpose
The primary purpose of this meeting is to conduct official Association business. A vote will be held on proposed new bylaws. Your vote will determine the governance framework for the HOA moving forward. In addition, officers and member-volunteer functional leads will provide updates on current status and future plans. Members will have the opportunity to ask questions or raise items of new business for further study and consideration by the Board or by the membership.
Sign-In and Voting Procedures. To ensure an accurate attendance count, a verified quorum determination and strict ballot control, the following deadlines will be strictly enforced:
- Sign-in opens at 9:00 AM. Sign in on the roll-call roster at the church entrance and receive your ballot.
- Sign-in closes at 9:45 AM. Members and proxy-holders arriving after this time will not be included in the attendance count or quorum determination and will not receive a ballot.
Proxies. If you are uncertain whether you will be able to attend, you may designate a proxy to vote or speak on your behalf.
- Submission Deadline: Proxies must be received by the Secretary by 12:00 PM (noon) on Friday, October 23, 2026. To maintain the integrity of the voting process, proxies will not be accepted at sign-in on the day of the meeting. Completed, signed and dated proxies may be placed in the HOA drop-box on the north wall of the mailbox structure; scanned or photographed and emailed; or mailed in sufficient time to be received by the deadline. Proposed New Bylaws
What are Bylaws?
Bylaws serve as the “operating manual” for Wissler Ranch HOA governance. They provide the necessary framework to implement provisions of state law and our Articles of Incorporation and our Declaration of Covenants, Conditions and Restrictions (Covenants). They provide the essential guidance for conducting business, making decisions, and defining the responsibilities of both the Board and membership.
Why Revise Now?
Our current Bylaws were adopted in 2015. While they provided a solid foundation, the proposed revisions strengthen our governance by clarifying decision-making authorities and enhancing guidance for the board and membership. The proposed bylaws were developed by a homeowner team, reviewed by the Association’s attorney of record and made available for review and comment before being finalized and submitted for a vote.
If adopted, these bylaws will replace the current version in its entirety. The Board supports the proposed bylaws and recommends that members vote Yes.
Key Provisions of the Proposed Revised Bylaws:
- Increased Member Oversight: Requires a membership vote for significant strategic decisions such as hiring a management company
- Procedural Consistency: Establishes clear processes for conducting meetings and voting to ensure a common understanding of how business is noticed and how members engage
- Fair Representation: Establishes term-limits for directorships and restricts employees of investor-owned properties from serving as directors
- Appointment Limits: Limits the tenure of an appointed director to 11 months (until the next annual meeting)
- Scope of Authority: These revisions do not expand the Board’s existing powers or authorities.
